Job description

The candidate will assist bankers in structuring and executing corporate transactions, participate in developing policies, procedures and standardized documentation for the Firm, monitor and advise the Firm and management on regulatory developments and new products or trends in the market, develop training opportunities for bankers and participate in internal review committees.

This lawyer’s scope of work will include assisting bankers with client negotiations and documentation requirements, providing sophisticated and practical risk-appropriate advice and liaising with other businesses, internal control and administrative functions and internal and external lawyers, as appropriate.

A general overview of the types of transactions the candidate will cover include:

M&A/Other Financial Advisory: advisory transactions across the Asia Pacific Region, including inward and outbound cross border M&A and public M&A subject to local regulation where the Firm acts as financial adviser.
Equity Capital Markets: (i) public offerings of equity in India, Hong Kong, Singapore and other Asian countries typically involving international sales under internationally or outside the United States; (ii) other equity offerings, including, follow on, depositary receipt and rights offerings; (iii) US registered offerings by Asian issuers; (iv) block trades (including top-up and placings) and accelerated global tenders for Asian listed companies; (v) convertible and exchangeable bond offerings; and (vi) private placements of equity and equity linked instruments.
Debt Capital Markets: (i) standalone bond offerings involving the Firm as underwriter for Asian issuers typically involving international sales under Reg S and/or Rule 144A; (ii) MTN programmes (origination, updates and drawdowns), (iii) liability management transactions, and (iv) private placements of debt instruments .

Responsibilities will also include:

Assisting in the preparation, review and negotiation of transaction related documentation including, confidentiality agreements, engagement letters, underwriting agreements, opinions and comfort letters;
Advising and assisting bankers on diligence and disclosure matters on capital markets transactions;
Coordinating and responding to queries from bankers and other administrative and control functions on legal matters relating to or arising out of the corporate and investment banking business and international transactions;
Along with compliance, providing guidance on the interpretation and implementation of laws and regulations and Firm policies, procedures and guidelines;
Participating in developing and revising policies, procedures and standardized documentation for the Firm;
Identifying changes in regulations or market developments and updating the business and other functions;
Identifying and assisting in developing training opportunities for bankers;
Engaging and managing outside counsel, as necessary;
Liaising with the litigation and regulatory investigations team as needed to address investigations, disputes and litigation matters;
Sharing and assisting in the management of know-how with other members of the Asia legal team;
Developing a relationship with bankers as a trusted strategic partner to the business; and
Providing sophisticated and practical advice to the business.

Desired Skills and Experience

Critical Requirements

US or English law qualified lawyer
At least 6 years PQE
English spoken and written language skills
Master’s of Law (LL.M.) or Doctor’s of Law (SJD or JSD) from an internationally recognized law school
International law firm in the area of international corporate transactions.

Desired

In-house experience with an international financial services company covering corporate and investment banking transactions.
Technical skills
United States securities laws
The Listing Rules, Takeovers Code and other laws of Hong Kong and Singapore
General principals of international law
Proficient in Word, Excel and PowerPoint
